Terms of trade

Terms for buying goods in the NM1 webshop. Please read them before you order.

This is a translation. The Danish version prevails.

1. About NM1 and these terms

The webshop is operated by NM1 A/S, CVR no. 46579259, Gladsaxe Møllevej 28, 2860 Søborg, Denmark (“NM1”, “we” or “us”). You can contact us at support@nm1.dk.

These terms of trade apply to all purchases of goods in the NM1 webshop. They apply to both consumers and business customers, but business customers are also subject to the special terms in section 16, which take precedence over the other provisions. The version of the terms in force when you placed your order is the one that applies to your purchase.

Use of NM1's platform and app, including connecting equipment and payouts for providing flexibility to the power grid, is not covered by these terms but by NM1's separate platform terms, which you accept when you sign up to the platform.

2. Ordering and conclusion of the contract

You must be at least 18 years old to shop in the webshop. When you place an order, you make an offer to buy the goods on the stated terms. The contract only becomes binding on NM1 once we have sent you an order confirmation by email.

We reserve the right to cancel an order in whole or in part if the goods are sold out, if there are obvious errors in price, product description or images, or if we have reasonable suspicion of misuse or fraud. If that happens, we will let you know straight away and refund any amount paid. We may limit the number of units that can be bought per customer or per address.

3. Prices

All prices are in Danish kroner (DKK) including 25% VAT and any duties. The price that applies to your purchase is the price at the time of your order, as shown in the order confirmation. Any delivery costs are clearly shown before you complete your order.

We are not obliged to deliver at a price that is obviously the result of a typing or technical error and that you ought to have realised was wrong.

4. Payment

Payment is made by payment card or the other payment methods shown at checkout. Payment is handled by our payment provider Stripe, and NM1 has no access to your card details. The amount is charged to your account when you order.

5. Delivery

We only deliver to addresses in Denmark, excluding the Faroe Islands and Greenland. The expected delivery time is shown on the product page and in the order confirmation. Delivery times are indicative, and we will let you know if a delivery is significantly delayed.

The risk for the goods passes to you when you have received them. We recommend that you inspect the goods on receipt. If the goods or the packaging are visibly damaged, please report it to the carrier on receipt and let us know at support@nm1.dk as soon as possible, preferably with photos.

6. Installation and compatibility

Installation is not included in the purchase. By law, some goods must be installed by an authorised electrician. It is your responsibility to make sure the installation is carried out correctly and by an installer with the necessary authorisations.

If you would like help with installation, we can refer you to one of our installation partners. The installation partners are independent businesses, and an installation agreement is made directly between you and the installer. NM1 is not a party to that agreement and is not responsible for the installer's work.

Before buying, it is your responsibility to make sure the goods suit your existing equipment, your electrical installation and your internet connection, based on the information in the product description. If in doubt, you are welcome to contact us before you buy.

7. Right of withdrawal

As a consumer, you have a 14-day right of withdrawal. The period runs from the day you receive the goods. If you ordered several items in the same order that are delivered separately, the period runs from the day you receive the last item.

To withdraw, you must send us a clear statement to that effect at support@nm1.dk before the period expires. You can use our withdrawal form, which is available on our website and attached to the order confirmation, but you don't have to.

Returns. You must send the goods back to us no later than 14 days after telling us that you are withdrawing. We will give you the return address when we receive your notice. You pay the direct cost of returning the goods. You bear the risk for the goods during the return shipment, so we recommend that you pack them securely and use a tracked service.

Condition of the goods. You may handle and test the goods to the extent necessary to establish their nature, characteristics and how they work, in the same way as in a physical shop. You are liable for any reduction in the value of the goods resulting from other handling. If the goods have been installed in your electrical installation, mounted or damaged, or if parts, accessories or packaging are missing, this will normally reduce their value, and we will deduct that reduction from the amount refunded to you. In special cases the reduction in value may equal the full purchase price.

Refunds. If you withdraw, we refund all payments received from you, including the cost of standard delivery, no later than 14 days from the day we receive your notice of withdrawal. Additional costs resulting from your choice of a delivery method other than our cheapest standard delivery are not refunded. We may withhold the refund until we have received the goods back or you have provided proof of having sent them. The amount is refunded using the same means of payment you used for the purchase.

8. Right to complain about defects

As a consumer, you have a 2-year right to complain about defects under the Danish Sale of Goods Act. This means you can complain about faults and defects that were present on delivery or that are due to a fault in the goods. The period runs from the day you receive the goods. You must complain within a reasonable time after discovering the defect. A complaint made within 2 months is always considered to be in time.

The right to complain does not cover faults or damage caused by incorrect or unauthorised installation, incorrect use, lack of maintenance, overvoltage or faults in your electrical installation, unauthorised changes to the hardware or software of the goods, accidents or ordinary wear and tear.

Contact us at support@nm1.dk before sending goods back for repair, and we will agree on the next steps. If the complaint is justified, we cover reasonable return costs and remedy the defect under the rules of the Sale of Goods Act, typically by repair or replacement. In many cases we can fix faults remotely or by a software update. If the complaint is not justified, we may charge reasonable costs for troubleshooting and shipping, provided we have told you so in advance.

9. Manufacturer's warranty

Some goods are covered by a manufacturer's warranty. The manufacturer's warranty is in addition to your right to complain and does not limit your statutory rights. The content and duration of the warranty are set out in the manufacturer's warranty terms, and NM1 does not itself provide a warranty beyond the rules of the Sale of Goods Act unless this is expressly stated on the product page.

10. Relationship to NM1's platform and payouts

Buying goods in the webshop does not in itself give you the right to take part in NM1's platform or to receive payouts. Connection to the platform, providing flexibility to the power grid and any payouts are governed solely by NM1's platform terms.

NM1 gives no guarantee that you will achieve any particular saving, earnings or payout from using the goods. Earnings from ancillary services depend on, among other things, market prices, Energinet's needs, regulation and your own consumption and equipment, and they may change over time. Calculations and examples on our website are indicative.

11. Software, updates and rights

Goods that can connect to the internet may receive software and firmware updates, which may be installed automatically to fix faults, improve security or ensure compatibility. Using the connected features of the goods requires a stable internet connection and that you keep the goods connected.

All rights to software, apps, trademarks and content belong to NM1 or our suppliers. You receive a non-exclusive right to use the software supplied with the goods together with the goods. You may not copy, modify, decompile or attempt to circumvent the software or its security features.

12. Liability and limitation of liability

NM1 is liable under the general rules of Danish law. To the extent permitted by law, NM1 is not liable for indirect loss, including operating loss, loss of data, lost savings, lost earnings or payouts, changes in electricity prices, or loss caused by faults in the power grid, the internet connection or third-party systems, apps or services.

NM1 is not liable for damage or loss caused by installation carried out by anyone other than NM1, including installation partners, or by use of the goods contrary to the manufacturer's instructions. Product liability is governed by the Danish Product Liability Act and the general rules of Danish law.

The limitations of liability do not apply if the loss is caused by intent or gross negligence on NM1's part, and they do not limit the rights you have as a consumer under mandatory law.

13. Force majeure

NM1 is not liable for delay or non-performance caused by circumstances beyond our control that we could not have foreseen, including war, terrorism, natural disasters, epidemics, strikes or lockouts, government action, cyberattacks, failure of power or communication networks, fire, and delays or defects at suppliers or carriers resulting from such circumstances.

14. Personal data

We process the personal data you give us when you buy in order to complete and deliver your order, handle withdrawals and complaints, and meet our obligations under the Danish Bookkeeping Act. You can read more in our privacy policy.

15. Assignment and changes

NM1 may assign its rights and obligations under the contract to another company in the North Media group or to an acquirer of NM1's activities, including in connection with a change of name or a restructuring. Your rights under the contract and under the law are not reduced by such an assignment.

We may change these terms of trade for future purchases. Changes do not affect purchases already completed.

16. Special terms for business customers

If you buy as a business, the following applies instead of the conflicting provisions above:

There is no right of withdrawal. The goods must be inspected immediately on receipt, and defects must be notified in writing immediately and no later than 8 days after the defect was or ought to have been discovered. The right to complain expires no later than 12 months after delivery. NM1 decides whether a defect is remedied by repair, redelivery or credit.

NM1's total liability is limited to the price paid for the goods to which the claim relates, and NM1 is not liable for indirect loss of any kind, including operating loss, loss of profit, loss of data and lost earnings. The buyer must indemnify NM1 to the extent NM1 incurs product liability towards third parties for damage for which NM1 is not liable under these terms.

When invoicing, NM1 retains title to the goods until the full purchase price has been paid, to the extent permitted by law. In the event of late payment, interest is charged under the Danish Interest Act together with a compensation fee of DKK 310. Disputes are settled under Danish law by the Copenhagen City Court as the court of first instance.

17. Complaints and disputes

If you have a complaint, please contact us first at support@nm1.dk and we will find a solution together. If that does not succeed, as a consumer you can complain to the Centre for Complaint Resolution (Center for Klageløsning), Nævnenes Hus, Toldboden 2, 8800 Viborg, Denmark, via www.naevneneshus.dk.

The contract is governed by Danish law. As a consumer, you can always bring proceedings in the courts where you live.

If any provision of these terms is wholly or partly invalid, this does not affect the validity of the other provisions.
